As a Corporate Paralegal, you will:
- Assist attorneys with sophisticated corporate transactions from inception through closing
- Prepare and file business entity formation and dissolution documents in multiple jurisdictions
- Assist with corporate governance matters
- Conduct due diligence for corporate transactions
- Prepare secured lending certificates and related documentation
- Prepare and file UCC financing statements
- Coordinate pre-closing activities, including signature packets, closing checklists, and closing certificates
- Support transactional closings by tracking signature pages, final agreements, and closing documents
- Assemble post-closing binders and closing books
- Conduct lien searches and legal research
- Draft audit response letters
- Review collateral descriptions
- Order certified copies and certificates of good standing
- Calculate franchise taxes and assist with state filing requirements
- Register nonprofit entities and prepare federal and state tax exemption applications
- Assist attorneys with corporate compliance matters and resolve transactional issues as they arise
The ideal Corporate Paralegal will have:
- 5+ years of Corporate Paralegal experience
- Law firm experience preferred. Candidates with comparable in-house corporate transactional experience will also be considered.
- Experience supporting sophisticated corporate transactions from inception through closing
- Strong experience with corporate governance, entity formations, due diligence, UCC filings, secured lending transactions, corporate compliance, and transactional closings
- Excellent organizational skills with exceptional attention to detail
- Strong written and verbal communication skills
- Ability to manage multiple priorities in a fast-paced environment
- Proficiency with Microsoft Word, Outlook, and Excel
- Experience using legal document management and timekeeping software is a plus
- Paralegal Certificate or degree in Paralegal Studies preferred
