Job Description


We currently have an opportunity for a Corporate: Paralegal with a pharmaceutical company in Northern Bergen County, NJ. The Corporate Paralegal will provide support to the company’ s Corporate and Business Affairs, Litigation, Latin America and Manufacturing attorneys

 

Position responsibilities are:

 
  • Create and maintain corporate minute books for U.S. affiliate and international subsidiaries of U.S. company, including:
  • Draft corporate shareholder/board of director resolutions, secretary certificates, and certificates of authorizations
  • Assist with preparation for Board of Directors meetings and working closely with outside counsel in Latin America in connection with annual filing reports and amendments to corporate documents
  • Assist with translations and development of training materials for Latin America subsidiaries;
  • Assist with formation/dissolutions of corporations, and supporting attorneys in corporate business transactions (such as licensing, manufacturing and mergers and acquisitions) in connection with closings,
  • Draft correspondence and day to day agreements based on pre-approved templates including confidentiality agreements
  • Document intercompany transactions; including maintaining/tracking contracts requests/contracts and other supporting documents for Latin America region;
  • Assist litigation attorneys with case management for litigation matters and in response to subpoenas or government regulatory investigations including maintaining pleadings and other files, reviewing document production requests, determining scope and identifying required resources, and conferring with lead attorney on most efficient and economical approach;
  • Draft and disseminate document preservation notifications to relevant parties
  • Interface with Information Technology (IT) partners to ensure appropriate preservation of systems, databases and other electronic records
  • Assist with the coordination of eDiscovery process including identifying and interviewing custodians and reviewing potentially discoverable documents
  • Partner with eDiscovery outside vendors to have electronic data collected, processed, and loaded into a database platform in preparation for review and/or production.

 

Position requirements are:
  • Bachelor’ s Degree and/or Paralegal certification
  • At least 3-5 years prior corporate Paralegal experience at a law firm or in house legal department
  • Proficiency in MS Office
  • Excellent communication and organizational skills
  • Demonstrated ability to multi-task and prioritize work
  • Experience with pharma clients is a plus
