Job Description

We currently have an opportunity for a Corporate Paralegal with a law firm in the Livingston, NJ area (zip code 07039)
  • Assist in Mergers & Acquisitions and Private Equity, and the overall corporate practice on a variety of deals
  • Interface with service providers including management of invoices
  • Draft and file certificate of incorporation and formation as well as statutory filings with Secretary of State: amendments, conversions, mergers, and dissolutions,
  • Prepare final annual reports, conversions, mergers and dissolutions
  • Draft written board consents and written stockholder consents as well as resolutions 
  • Prepare initial stock subscription agreement, stock certificates, stock ledger, and withdrawal applications
  • Maintains stock ledgers
  • Conduct research to determine jurisdictions for qualification
  • Orders lien searches and summarize lien search results
  • Calculate franchise taxes
  • Prepare minute books
  • Handle closings
Position requirements are:
  • At least 4 years’ of corporate legal experience in a law firm
  • BA degree and paralegal certification
